Agreement Overview

These Terms of Service ("Terms") apply to your access to and use of the Monkey Thinking Meme platform, including any applications, APIs, or functionality delivered through monkeythinkingmeme.app. By accessing the services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Eligibility & Accounts

You must be at least the age of majority in your jurisdiction (and never younger than 13) to create an account. You agree to provide accurate registration information, maintain the security of your credentials, and promptly notify us of any unauthorized use.

Service Usage

• You will use the services only for lawful purposes and in accordance with applicable regulations.
• You will not reverse engineer, decompile, or attempt to gain unauthorized access to underlying systems or data.
• You will not upload or transmit malicious code or harmful content.
• You are responsible for all activities that occur under your account.

User Obligations

You are responsible for ensuring that your content and use of the services comply with all laws applicable to you, including intellectual property, privacy, and export controls. You must maintain necessary backups of your data and ensure that your end users receive appropriate privacy disclosures.

Intellectual Property

The services, including all software, documentation, and branding, remain the exclusive property of Monkey Thinking Meme or its licensors. We grant you a revocable, non-exclusive license to use the services in accordance with these Terms. Feedback you provide may be used to improve the services without obligation to you.

Payments & Subscriptions

Paid plans renew automatically unless cancelled in accordance with the billing schedule described at purchase. You authorize us (and our payment processors) to charge your payment method for all associated fees. Late or failed payments may result in suspension or termination.

Jurisdiction-Specific Terms

GDPR (European Economic Area & UK)

If you are established in the EEA or UK, you confirm you have a lawful basis for providing personal data to us. We act as processor or controller depending on the feature. You must execute a Data Processing Addendum (DPA) when required and notify us promptly of any data subject requests impacting shared data.

CCPA (California, USA)

For California consumers, you acknowledge that you will provide legally adequate notices to end users and respect opt-out requests. We do not sell personal information as defined by the CCPA. Any service provider obligations triggered by your deployment will be honoured under written agreements.

Mainland China

Where users are in Mainland China, you are responsible for verifying that your use of the services complies with local cybersecurity and data export regulations. We will provide transparency regarding data hosting regions and will cooperate with lawful requests from Chinese regulators when required.

Suspension & Termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or create risk to the platform or other users. Upon termination, your right to use the services ceases immediately, but sections related to intellectual property, indemnity, and limitations of liability survive.

Warranty Disclaimer & Limitation of Liability

The services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied. Our aggregate liability arising under these Terms will not exceed the amount paid by you in the twelve months preceding the event giving rise to liability.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction specified in your order form or, if none, the State of Delaware, USA, excluding conflict-of-laws principles. Disputes will be resolved through good-faith negotiation followed by binding arbitration in English, except where prohibited by law.

Changes to These Terms

We may modify these Terms from time to time. Updated Terms become effective on the date shown above. Continued use after the effective date constitutes acceptance. Material updates will be communicated through passive notice mechanisms such as banner announcements or transactional email.
